How to Use
- Open the LOI Template tab. Section headers are pre-formatted; you fill in the value column.
- Delete sections that don’t apply to the deal (e.g., Theatrical lines for an SVOD-only sale).
- For ambiguous fields, consult the Field Reference tab. The pitfalls column is short but load-bearing —
'Exclusive' without a clear territory+right+window scope is unenforceablematters. - Export to PDF (File → Download → PDF, or Print → Save as PDF) and send for countersignature.
What an LOI is (and isn’t)
An LOI is a short document (usually 1–2 pages) capturing the business terms the parties have agreed in principle, subject to a long-form contract. It’s meant to be signed — unsigned LOIs are just proposals. A properly countersigned LOI is legally binding on the key terms (rights, territory, MG, window) even if the long-form never materializes, which is why getting the ambiguous fields right matters.
An LOI is not a substitute for a contract. Delivery specs, audit rights, warranties, indemnity, force majeure — all of that lives in the long-form agreement. The LOI just nails down the commercial bones.
